NON-EXCLUSIVE SYNCHRONISATION & INSTRUMENTAL LICENCE AGREEMENT

Effective Date: Upon purchase/download of any Track(s) or collection from hardwaremusic.co.uk / Hardware Music

Licencee: The individual or entity purchasing the Track(s)

Licensor: Hardware Music

1. Grant of Licence:

- Upon purchase, the Licensor grants the Licencee a non-exclusive, royalty-free licence to use the Track(s) in synchronisation with visual media worldwide, including but not limited to: Film, TV, video games, apps, interactive media, podcasts, radio advertising, promotional content, social media content, and musical compositions incorporating vocals, rap, or other instrumental layers.

The Licence Allows:

- Editing, looping, or rearranging of the Track(s), and the incorporation into derivative works (films, TV, video games, videos, music compositions).

- For the avoidance of doubt, “royalty-free” refers solely to royalties payable directly by the Licencee for the licensed uses and does not include public performance, broadcast, communication to the public, or similar royalties collected by performing rights organisations or copyright collection societies.

2. Tier Details:

- Basic Licence: Full Track(s) only (WAV + MP3).

- Premium Licence: Full Track(s) + alternate versions (15s, 30s, 60s, stingers, loops, etc.) (Stems may be included in Premium packages).

3. Restrictions:

The Licencee may not:

- Claim authorship of the original Track(s).

- Redistribute, resell, or repackage the Track(s) as standalone audio or as part of another sample pack. (Minor edits, processing, or transformations do not constitute sufficient originality to permit redistribution of the Track(s) as standalone content.)

- Upload the Track(s) to third-party marketplaces.

- Register the Track(s) with any performing rights organisation (PRO) or copyright collection entity. This restriction does not apply to derivative works created by the Licencee that incorporate the Track(s), provided that any such registration, claim, or content identification does not assert ownership of, or register, the underlying Track(s) or compositions authored by the Licensor.

4. Ownership:

- All Track(s), including any stems provided, remain the sole property of the Licensor.

- The Licencee is acquiring only the right to use the Track(s) as described above.

- Derivative works incorporating the Track(s) or stems, including any vocals, lyrics, or instrumental layers added by the Licencee, are owned by the Licencee to the extent of their original contributions and excluding the underlying Track(s).

- All rights and ownership of the underlying Track(s) and Stems remain the property of the Licensor.

5. Delivery:

- Track(s) are delivered digitally (WAV, MP3, or other formats included in the purchased package).

- Licence is effective immediately upon download.

- All sales are final.

6. Sublicensing:

- The Licence does not permit sublicensing, resale, or transfer of the Track(s) except where the Track(s) are embedded within a finished audiovisual, interactive, or musical work created by the Licencee.

7. Liability & Indemnification:

- The Track(s) are provided “as-is.”

- The Licensor is not liable for any damages arising from the use of the Track(s).

- The Licencee agrees to indemnify the Licensor against claims arising from misuse of the Track(s).

8. Termination:

- The licence is perpetual, provided that the Licencee complies with the terms outlined.

- Non-compliance may result in revocation of licence rights.

- Any termination or revocation shall apply only to future use of the Track(s) and shall not require the removal of Track(s) from works lawfully created and distributed prior to termination.

9. Governing Law:

- This Agreement shall be governed by and construed in accordance with the laws of England and Wales.

10. Attribution:

- Attribution is required where applicable.

By purchasing or downloading the Track(s), the Licencee agrees to the terms of this Licence Agreement.
